1. Definitions
In these Terms and Conditions, the following definitions apply:
- "We," "Us," "Our," or "Cortexia" refers to Cortexia, operating in Bangkok, Thailand
- "Client," "You," or "Your" refers to the individual or organization engaging our services
- "Services" refers to machine learning workshops, computer vision integration, AI consulting, and related offerings
- "Agreement" refers to these Terms and Conditions together with any service-specific agreements
- "Website" refers to our online presence at cortexen.club
2. Acceptance of Terms
By accessing our website, engaging our services, or participating in our programs, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with these terms, please do not use our services.
These terms apply to all visitors, workshop participants, consulting clients, and others who access or use our services. You represent that you are at least 18 years old and have the legal capacity to enter into this agreement.
3. Services Description
Cortexia provides artificial intelligence consulting, implementation, and training services including:
- Machine Learning Workshop programs for education and training
- Computer Vision Integration services for technical implementation
- End-to-End AI Consulting covering full project lifecycles
- Related advisory and support services as agreed upon
Specific scope, deliverables, timelines, and pricing are defined in service-specific agreements or statements of work that supplement these general terms.
4. Service Engagement
4.1 Workshop Registration
Workshop participants must register and pay applicable fees before attending. Registration is complete upon payment confirmation. We reserve the right to cancel workshops due to insufficient enrollment or other circumstances, with full refunds provided in such cases.
4.2 Consulting Engagements
Consulting and implementation projects require a signed statement of work defining scope, deliverables, timeline, and fees. Both parties must agree to these terms before work commences. Changes to scope require written agreement and may adjust timeline and fees accordingly.
4.3 Service Modifications
We may modify or discontinue services with reasonable notice. Existing engagements will be honored according to their original terms, though we may need to adjust delivery methods in exceptional circumstances.
5. Payment Terms
5.1 Fees and Currency
All fees are stated in Thai Baht (฿) unless otherwise specified. Prices are subject to change, though confirmed engagements honor the agreed-upon pricing.
5.2 Payment Schedule
Workshop fees are due upon registration. For consulting engagements, payment terms are defined in the statement of work, typically following milestone completion or monthly billing cycles.
5.3 Late Payment
Late payments may incur interest charges and may pause service delivery until payment is received. Continued non-payment may result in engagement termination.
5.4 Refund Policy
Workshop cancellations more than 14 days before the start date receive full refunds. Cancellations within 14 days receive 50% refunds. Consulting engagement refunds are handled according to project-specific agreements. We provide refunds if we cancel services.
6. Intellectual Property
6.1 Cortexia's Rights
All content on our website, including text, graphics, logos, and materials provided during services, remains the intellectual property of Cortexia or our licensors. You may not reproduce, distribute, or create derivative works without our written permission.
6.2 Work Product
Deliverables created specifically for your engagement (custom models, implementations, documentation) become your property upon full payment, unless otherwise specified in the engagement agreement. We retain rights to general methodologies, frameworks, and knowledge gained during engagements.
6.3 Client Data
You retain all rights to your data. We use client data only as necessary to deliver agreed services and according to confidentiality agreements. We do not use client data to train models for other clients without explicit permission.
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during engagements. This includes technical approaches, business information, and client data. Confidentiality obligations extend beyond engagement completion.
Exceptions include information that is publicly available, independently developed, or required to be disclosed by law. Specific confidentiality terms may be detailed in separate non-disclosure agreements.
8. Warranties and Disclaimers
8.1 Service Warranties
We warrant that services will be performed with reasonable care and skill consistent with industry standards. We do not warrant specific outcomes or results, as AI implementations depend on many factors including data quality, organizational context, and external variables.
8.2 Disclaimers
Our services are provided "as is" without warranties of any kind, express or implied. We specifically disclaim warranties of merchantability, fitness for particular purpose, and non-infringement to the fullest extent permitted by law.
We do not guarantee that implementations will be error-free, uninterrupted, or meet specific performance benchmarks unless explicitly stated in writing. Machine learning models have inherent limitations and uncertainties that we help clients understand and manage.
9. Limitation of Liability
To the maximum extent permitted by Thai law, Cortexia's total liability for any claims arising from our services shall not exceed the fees paid for the specific service giving rise to the claim.
We are not liable for indirect, incidental, consequential, or special damages including lost profits, lost data, or business interruption, even if advised of their possibility.
These limitations apply regardless of the theory of liability (contract, tort, negligence, or otherwise) and survive engagement termination.
10. Client Responsibilities
You agree to:
- Provide accurate information and necessary access to resources as agreed
- Respond to reasonable requests for information or decisions in timely manner
- Ensure you have rights to any data or materials you provide to us
- Comply with applicable laws and regulations in your use of our services
- Not use our services for illegal purposes or in ways that violate third-party rights
- Maintain confidentiality of any login credentials or access provided
11. Termination
11.1 By Client
You may terminate workshop registration according to our refund policy. For consulting engagements, termination terms are specified in the statement of work, typically requiring written notice and payment for work completed to date.
11.2 By Cortexia
We may terminate services for non-payment, breach of terms, or if continuation becomes impractical. We provide reasonable notice except in cases of serious breach.
11.3 Effect of Termination
Upon termination, you must pay for services rendered to that point. Confidentiality obligations, intellectual property provisions, and limitation of liability survive termination.
12. Dispute Resolution
In the event of disputes, parties agree to first attempt resolution through good-faith negotiation. If negotiation fails within 30 days, disputes may be submitted to mediation before pursuing formal legal action.
These terms are governed by the laws of Thailand. Any legal proceedings shall be conducted in Thai courts with jurisdiction over Bangkok.
13. General Provisions
13.1 Entire Agreement
These Terms and Conditions, together with any service-specific agreements, constitute the entire agreement between parties and supersede all prior understandings.
13.2 Modifications
We may update these terms with notice on our website. Continued use of services after changes constitutes acceptance. Existing engagements continue under original terms unless mutually agreed otherwise.
13.3 Severability
If any provision is found invalid or unenforceable, the remaining provisions continue in full effect.
13.4 Waiver
Failure to enforce any provision does not constitute a waiver of that or any other provision.
13.5 Assignment
You may not assign your rights or obligations without our written consent. We may assign these terms in connection with business transfers or restructuring.
